If you do not agree to all of these Terms of Use, you may not access, view, obtain services from, or otherwise use the web Site of BizKingdom. BizKingdom is only providing a listing service. Our listing services shall not be deemed to be, an offer to sell or a solicitation of an offer to buy any securities. We are not involved in any transaction between any parties who use the Site. Users of our Site are hereby fully responsible for the legal and regulatory compliance of any transaction they enter into, and BizKingdom makes no representation or assurance about such compliance. While this Agreement requires that Users provide accurate and complete information about themselves and businesses they may list for sale or express interest in, BizKingdom cannot and does not confirm or assure each User's purported identity and makes no inquiries about the authencity and accuracy of business listings. We do not endorse or assure the authenticity of any buyer’s interest in buying a business as expressed in response to a business for sale listing.. We cannot ensure that a buyer or seller will actually complete a transaction. Please use caution, common sense, and engage in safe trading practices when using our Site. Vendors: In admitting companies into our Vendor directory, BizKingdom makes every effort to ensure that we are dealing with reputable and professional organizations. Notwithstanding the foregoing, we strongly recommend that you perform your own due diligence on any potential vendor prior to entering into any type of agreement with such vendor. In addition, once we refer your request to the vendors in our Vendor directory, we have no further involvement in any transactions that occur between you and the vendors.
All items such as text and graphics, the selection, arrangement and presentation of all materials, and the overall design of this Site are copyrighted by BizKingdom, its agents, employees, officers, subsidiaries, members or affiliates.User agrees to treat all information obtained from the Service, including business listings, business broker directory, and any other information otherwise made available to User in the Service (individually and collectively, the “Contentâ€) as proprietary to Company. Reproduction or republication is strictly prohibited without prior written consent. This Site may also contain valuable trademarks, service marks, names, titles, logos, images, designs, copyrights and other proprietary materials owned, registered and used by other companies who have authorized their use on this Site only. Other products and company names mentioned in the Site may be the trademarks of their respective owners. Except as noted above, you are not conveyed any right or license by implication, estoppels, or otherwise in or under any patent, trademark, copyright, or any other proprietary right of BizKingdom, the Site, affiliate or any third party.
BizKingdom authorizes you to view and download the materials at this Site only for your personal, non-commercial use, provided that you retain all copyright and other proprietary notices contained in the original materials on any copies of the materials. You must not amend, modify or change the materials at this Site in any way or reproduce or publicly display, perform, or distribute or otherwise use them for any public or commercial purpose. Any use of these materials on any other website or networked computer environment for any purpose is prohibited. If you breach any of these Terms of Use, your authorization to use this Site automatically terminates and you must immediately destroy any downloaded or printed materials.
Users violating these specific Terms, specifically those Users searching the Service in an abusive or excessive manner, by automated or manual means, shall be subject to immediate termination of their membership and will be assessed an excessive use fee of $500.
All trademarks, service marks, logos, or other corporate identifications such as ‘BizKingdom ’, (collectively, "Marks") on this Site are trademarks or service marks of BizKingdom . User agrees not to use, copy, reproduce, republish, upload, post, transmit, distribute, or modify these Marks in any way. The use of these Marks on or as a link to any other Site is strictly prohibited without prior written approval by BizKingdom .
To be eligible for our Services, you must be at least 18 years old. When signing up for our Services, you authorize BizKingdom , directly or through third parties, to make any inquiries we consider necessary to validate your identity. This may include asking you for further information, requiring you to take steps to confirm ownership of your email address or financial instruments, and verifying your information against third party databases or through other sources.
When you sign up for Services from BizKingdom , you will be given a Username and also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree to select a password that is only known to you and is not easily identifiable to others. You are solely responsible for any and all use of your membership including maintaining the security of your password.
You will not disclose your password to any third party. You agree to notify us immediately if you know of or suspect any unauthorized use of your membership or access to your password. You agree not to use the account, username, or password of another User.
You may terminate your membership with us at any time either by downgrading your account or canceling it by following the instructions in the ‘account setting’ section of your profile/account. If your account is not closed before your next billing cycle your account will be renewed. Non active account will be automatically closed after 6 months. In the event of termination of your service agreement, sections: Exclusion Of Warranty, Limitation Of Liability, Indemnification, Submission And Administration Of Listings, Prohibited Content and/or Activity, Links To/From Third Party Sites, Copyright/ Restrictions On Use Of Material. Trademarks, Service Marks, Logos, and Corporate Identifications Protected, would still survive.
User agrees not to submit any business descriptions, photographs, financial, contact or other information contained in each business's data to BizKingdom unless User has received all necessary rights, released and authorizations, including from the photographer and/or copyright owner of any photographs, to publish and advertise the business on the User's website or on the BizKingdom webSite. User agrees not to submit any image to BizKingdom which contains inappropriate content. The Company may, in its sole discretion but without any obligation to search for such, remove a business listing ("Business" or "Listing") that is alleged to have been submitted in violation of this provision. In addition, the Company may require additional evidence of compliance with this provision from Users who are alleged to have submitted businesses or other information in violation of this Agreement. Each listing purchased by User on BizKingdom is permitted for one business for sale opportunity/entity, and may not be changed or edited in an attempt to sell a different business entity. The Company will, in its sole discretion, terminate the accounts of, and refuse service to, any User who repeatedly or knowingly violates this Agreement. Additionally, the User agrees to allow the Listing, or any part of it, to be searched, displayed, accessed, downloaded, copied, and otherwise referred to by Users of the User's website or the BizKingdom Site.. User (a) represents and warrants that all Businesses and associated information provided by User will be accurate and verifiable ; (b) agrees that User will not permit a Listing on the BizKingdom Site under a name other than the named licensed business agents that have been engaged by the business owner to market the business under the terms of a duly executed listing agreement with the owner; (c) agrees to administer the Listings provided by User and maintain their accuracy at all times. Company shall have , in a manner consistent with reasonable commercial business practices, the right to remove all or any part of the Listings posted on the BizKingdom Site. Company accepts no responsibility for checking the accuracy of reports or data files submitted by User. While Company shall take all reasonable efforts for data backup and business resumption, User will be solely responsible for retaining back-up copies of all information, photographs and other materials it provides to BizKingdom.
You must use the Site in a manner consistent with any and all applicable laws and regulations. You agree that you shall not use BizKingdom’s Services to upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party.
We reserve the right to take legal action in our sole discretion against anyone who violates this provision, including without limitation, removing the offending Content from the Site and terminating the membership of such violators.

All fees applicable for the usage of our Services can be found at the respective pages. User agrees to pay for all products ordered through the BizKingdom web Site, or as agreed and provides Company express authorization to charge said fees to their payment provider. Fees owed depend on the specific type and quantity of BizKingdom products, services, information, or Services (collectively "Services") ordered. Payment of fees shall not be contingent on any events other than the delivery of the ordered Services. Any attorney fees, court costs, or other costs incurred in collection of delinquent undisputed amounts shall be the responsibility of and paid for by User. If payment is not current, Company may immediately cease to provide any and all Services to the User. The fees paid for monthly subscriptions are non-refundable, regardless of whether the subscription is terminated prior to the end of the month. Fees paid for business listings and other products are not refundable. No partial month refunds will be provided. User may cancel their BizKingdom product membership by contacting us only by email at Cancel@BizKingdom.com. All cancellation requests will be processed within two (2) business days, and a cancellation confirmation will be emailed to the email address on record for the account. The membership will be deactivated at the end of the current billing term. Company reserves the right to change its fees or billing methods at any time. Company will provide timely notice to the affected Users of any such changes. It is User's responsibility to promptly provide Company with any contact or billing information changes or updates (including email address, credit card numbers, etc.).
This Site may contain online contests and surveys. Contests are solely to generate user interest. The surveys are for informational purposes and primarily contain sets of "multiple choice" questions. Participation in such contest and surveys is voluntary
BizKingdom assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect your computer equipment or other property on account of your access to, use of, or browsing in this site or your downloading of any materials, data, text, images, video or audio from the site. We are also not responsible for any loss attributed to our failure to provide timely reminders to our users. In no event shall BizKingdom or any third party providers or distributors be liable for any injury, loss, claim, damage, or damages, including, but not limited to, any special, exemplary, punitive, indirect, incidental or consequential damages of any kind, whether based in contract, tort, strict liability, or otherwise, which arises out of or is in any way connected with (i) any use of this site or Content found herein, or (ii) the performance or non performance by BizKingdom or any third party providers, including, but not limited to, non performance resulting from bankruptcy, reorganization, insolvency, dissolution or liquidation even if such party has been advised of the possibility of damages to such parties or any other party.
User's exclusive remedy, and Company's entire liability under this Agreement shall be a refund to User of the fees paid to Company hereunder, and in no event will Company's liability for any reason exceed such fee.
User agrees to indemnify and hold harmless BizKingdom, at User's sole expense, against any claim, action, legal proceeding, damages, liability, settlements, expenses (including attorneys' fees) and other costs relating to (i) breach of any of these terms by any party; (ii) User's negligence or misconduct, or (iii) claims that User has infringed the copyright, trademark, trade secret, patent, or other proprietary right of a third party.
Every reasonable effort has been made to ensure the accuracy of the information and Content on this Site. Notwithstanding the foregoing, BizKingdom assumes no responsibility for the accuracy of the information. BizKingdom disclaims any obligation or duty to update any information contained in this Site. Company makes no promises, representation or warranties, either express, implied, statutory, or otherwise, with respect to the listings or service, including their accuracy, operation, conformity to any representation or description, or the existence of any latent or patent defects, and company specifically disclaims all implied warranties of merchantability, noninfringement and fitness for a particular purpose and, under the law of the united states of america, the implied conditions of satisfactory quality and acceptance as well as any local jurisdictional analogues to the above and other implied or statutory warranties.
BizKingdom is only an online marketplace. Since we do not represent any user or involve in any transaction we do not arbitrate disputes. It is prudent that buyers and sellers perform their own due diligence before conducting a transaction. We shall have no obligation to (i) resolve disputes among Users of the Service; or (ii) monitor or verify the accuracy or proper use of the Listings. We must not be held responsible or liable should a dispute arise between a seller and buyer. The parties in dispute must contact the other to resolve such disputes.
User understands and acknowledges that no joint venture, partnership, employment, or agency relationship exists or is created between User and BizKingdom as a result of use of the Site.

This Agreement and Services provided by Company shall be governed by the laws of the State of Florida, without reference to conflict of laws principles. The parties hereby consent to the exclusive jurisdiction and venue of the State and Federal courts of Santa Rosa County, Florida. If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of this Agreement, which shall remain in full force and effect. This Agreement shall be binding upon and shall inure to the benefit of the parties and their respective successors and permitted assigns.
The rights under this Agreement or any license granted hereunder may not be assigned, sublicensed or otherwise transferred by User without the prior written consent of Company, which retains the right to withhold consent in its sole discretion.
The Terms of Use of this Agreement constitute the entire agreement between the parties and supersede all previous agreements and understanding, whether oral or written, between the parties hereto with respect to the subject matter of this Agreement. Broker Membership
Broker Membership privileges are granted by Company to individuals exclusively and are granted specifically to the subscribing Broker Member only. When choosing an "area served" which displays on the BizKingdom Broker Directory, User acknowledges that User is authorized to act as an intermediary for business transactions in that state and county. Standard Broker membership accounts are limited to an individual business broker or agent, and to no more than ___ (__) Mention number.

Broker Membership rights cannot be assigned, sublicensed, distributed, shared, viewed, accessed, or otherwise transferred to anyone other than the subscribing Broker Member without the express written consent of Company. Broker Membership privileges are subject to change from time to time and may be subject to additional business listing and searching limitations. User acknowledges that Company (in addition to its other remedies) can cancel and prohibit Broker Membership privileges to any individual, organization, or group that are in violation of these by the Terms of Use set forth herein and/or can refuse any or all membership privileges. Company also has the right to refuse service to any User or company that has delinquent charges that remain unpaid and to impose additional charges to reactivate Broker or other membership privileges.
Broker Member subscriptions will automatically renew at the prevailing monthly subscription cost and the credit card number provided for initial payment will be charged accordingly unless the User notifies BizKingdom (in writing) 30 days prior to the renewal date. A Broker Membership is fully refundable only within the first 30 days of purchase provided that User provides timely notification to BizKingdom in writing. The Company reserves the right to change its fees, payment frequency, or billing methods at any time. The Company will provide timely notice of any such changes.
User acknowledges that business listings will only be added to the BizKingdom Site if all contacts added to that listing are also subscribing individual members. Standard Broker membership accounts are limited to no more than ______ total business listings at any given time. User may contact BizKingdom for additional business listing. All listings must conform to the rules set forth in Submission and Administration of Listings and Prohibited Content/Activity terms, as above. Company reserves the right to remove listings that are deemed excessive in number or in violation of the Submission and Administration of Listings and Prohibited Content/Activity terms. Company reserves the right, in its sole discretion, to remove any listing from the Service.
The following provisions of BizKingdom’s Terms of Use are specifically and only applicable to Quote Seekers who request for price quotes from our Vendors.
You, the Vendor, must provide current, complete, and accurate information about yourself when completing a request from Quote Seekers for price quotes. You agree to maintain and keep your data up-to-date. Procedures for updating your information are set forth in our Privacy Policy. You are responsible for maintaining the security of your password.
You should be aware that each Request for Proposal (RFP) placed with BizKingdom is reviewed manually by our Verification Department to ensure its validity and then it is matched to the vendors in our Vendor directory who can most likely accommodate your requirements.
We cannot guarantee that our Vendors can provide quotes for every RFP we receive or that the vendors who do respond to your request can meet all of your requirements. We may reject any request and choose not to alert our vendors to provide quotes, for any reason or no reason, including, without limitation, if a request
(i) does not appear legitimateIn submitting a RFP with BizKingdom you agree to allow us to refer all of the information you provide to up to 5 vendors in our Vendor directory. We use reasonable efforts to timely deliver your request to the selected Vendors via email and we require the Vendors to respond by phone or email no later than two business days after they receive your RFP. However, we are not responsible for technical difficulties or any other factors that may cause a delay or failure of response by any of the Vendors Your contact information will be retained by BizKingdom, however, except as set forth herein and in our Privacy Policy, we will not sell your information to any third parties. You will receive communications by email to confirm your request and to later provide us with feedback. You may also receive e-newsletters and special promotions from us, but you may opt to be removed from these distributions at anytime as set forth in our Privacy Policy.
